1. Definitions

For clarity throughout this document, the following terms carry the meanings described below:

• "Gemilang Tech" / "We" / "Us" / "Our" — Refers to Gemilang Tech, a technology services provider registered and operating in Kuala Lumpur, Malaysia.
• "Client" / "You" / "User" — Any individual, company, or organisation that engages Gemilang Tech for services or accesses our website.
• "Services" — The AI integration consulting, technical implementation, and training programmes offered by Gemilang Tech, including Speech Recognition Integration, AI Project Management Foundations, and Knowledge Graph Development.
• "Agreement" — These Terms & Conditions, together with any signed service proposal or statement of work.
• "Deliverables" — Any reports, code, models, documentation, templates, or materials produced by Gemilang Tech in the course of providing a Service.
• "Confidential Information" — Non-public data, technical details, business information, or client data shared during a project engagement.

2. Acceptance of Terms

By engaging Gemilang Tech for any service, submitting an enquiry, or using our website, you acknowledge that you have read and understood these Terms & Conditions and agree to be bound by them.

If you are representing an organisation, you confirm that you have authority to enter into this agreement on behalf of that organisation.

• You must be at least 18 years of age to engage our services.
• Corporate clients should ensure the representative accepting these terms holds appropriate authority.
• Continued use of our services after any updates to these terms constitutes acceptance of those updates.

3. Service Description

Gemilang Tech provides AI integration consulting, technical implementation support, and structured training programmes for businesses operating primarily in Malaysia.

Our current service offerings include:

Service availability is subject to scheduling and capacity. Gemilang Tech reserves the right to decline engagements at its discretion. Geographic restrictions may apply for certain delivery formats.

4. User Responsibilities

To allow Gemilang Tech to deliver services effectively, clients are expected to:

• Provide accurate and complete information at the time of engagement and throughout the project.
• Assign a point of contact with decision-making authority for the duration of the engagement.
• Provide timely feedback and approvals to avoid delays to agreed project timelines.
• Ensure that any data or content shared with Gemilang Tech is lawfully obtained and does not infringe third-party rights.
• Use deliverables only for the purposes described in the agreed scope of work.

Prohibited activities include, but are not limited to:

• Reselling, sublicensing, or redistributing Gemilang Tech deliverables without prior written consent.
• Using our services for any unlawful purpose or in violation of Malaysian law.
• Misrepresenting your relationship with Gemilang Tech to third parties.
• Attempting to reverse engineer, copy, or replicate proprietary methodologies developed by Gemilang Tech.

5. Intellectual Property

All proprietary frameworks, training materials, methodologies, and tools developed by Gemilang Tech remain the intellectual property of Gemilang Tech unless otherwise agreed in writing.

Client-specific deliverables: Upon full payment, clients receive a non-exclusive, non-transferable licence to use project-specific deliverables (such as integrated system configurations, trained models, or documentation) within their own organisation for internal business purposes.

Training materials: Participants in our training programmes receive materials for personal professional development. Materials may not be reproduced, shared publicly, or used for commercial instruction without written consent from Gemilang Tech.

Client data: Any data provided by the client remains the property of the client. Gemilang Tech processes such data solely for the purposes of service delivery.

6. Payment Terms

All service fees are quoted and payable in Malaysian Ringgit (MYR / RM). Current service rates are:

• A deposit of 50% is required before commencement of work. The remaining balance is due upon project completion or as agreed in the statement of work.
• Accepted payment methods include bank transfer (DuitNow, IBG), and other methods confirmed in writing at the time of engagement.
• Invoices are payable within 14 calendar days of issuance unless otherwise agreed.
• Late payments may result in a pause of service delivery until the outstanding amount is settled.

Refund policy: Cancellations made more than 5 business days before a scheduled project start are eligible for a full refund of the deposit. Cancellations within 5 business days of commencement are non-refundable. Once work has commenced, fees corresponding to completed milestones are non-refundable. Training programme fees are non-refundable once materials have been distributed to participants.

7. Service-Specific Terms

Speech Recognition Integration

• Accuracy outcomes depend on audio quality, environment conditions, and the diversity of speaker samples provided during customisation. Gemilang Tech does not warrant specific recognition accuracy rates.
• The client is responsible for ensuring that any audio data used for model training complies with Malaysia's Personal Data Protection Act 2010 (PDPA) and any applicable employment or consent obligations.
• Third-party API costs (e.g., cloud speech services) are not included in Gemilang Tech's fee and are the responsibility of the client.

AI Project Management Foundations

• Programme content reflects current industry practices in AI project delivery and is subject to periodic revision.
• Participants are responsible for applying programme learnings within their own organisations. Gemilang Tech provides frameworks and templates as educational tools, not as organisational mandates.
• Rescheduling of training sessions must be requested at least 3 business days in advance. Sessions cancelled within shorter notice may not be rescheduled without an additional fee.

Knowledge Graph Development

• Scope of the knowledge graph engagement is defined in a signed statement of work. Changes to scope may affect project fees and timelines.
• The client is responsible for data access, export, and quality. Gemilang Tech is not responsible for inaccuracies in source data provided by the client.
• Ongoing maintenance of the knowledge graph after project handover falls outside this engagement unless a separate support agreement is in place.

8. Disclaimers

Services are provided on an "as is" and "as available" basis. While Gemilang Tech brings professional care and diligence to every engagement, we make no representations about specific business outcomes, revenue impacts, or operational improvements that may result from implementing our recommendations.

AI and machine learning systems are subject to inherent variability. Model performance can be influenced by data quality, infrastructure configuration, and usage context — factors that extend beyond Gemilang Tech's direct control.

Information provided during training programmes is intended for professional development purposes. It does not constitute legal, financial, or regulatory advice. Participants should seek qualified professional counsel for matters requiring such expertise.

9. Limitation of Liability

To the extent permitted by Malaysian law, Gemilang Tech's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim.

Gemilang Tech shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, loss of business, loss of data, or reputational harm, even where we have been advised of the possibility of such damages.

These limitations apply regardless of the basis of the claim — whether in contract, tort, statute, or otherwise — and reflect a fair allocation of risk between the parties.

10. Indemnification

You agree to indemnify and hold Gemilang Tech, its team members, contractors, and partners harmless from any claims, losses, damages, or expenses (including reasonable legal fees) arising from:

• Your breach of these Terms & Conditions.
• Your use of our deliverables in ways that infringe third-party rights.
• Data or content you provided to Gemilang Tech that was inaccurate, unlawfully obtained, or in violation of applicable privacy laws.

11. Termination

Either party may terminate an engagement with 14 calendar days' written notice, subject to the payment terms outlined in Section 6.

Gemilang Tech may suspend or terminate services immediately if the client engages in conduct that is unlawful, abusive toward our team, or materially breaches these terms.

Upon termination, the client will be invoiced for work completed up to the termination date. Sections covering intellectual property, confidentiality, disclaimers, limitation of liability, and dispute resolution survive termination of this agreement.

12. Dispute Resolution

These Terms & Conditions are governed by the laws of Malaysia. Any dispute arising from or relating to these terms or the services provided by Gemilang Tech shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

Before initiating formal proceedings, both parties agree to attempt good-faith resolution through direct discussion. If the matter is not resolved within 30 days of written notice of a dispute, either party may pursue formal mediation or legal remedies.

For consumer disputes, Malaysian clients may also seek recourse through the Tribunal for Consumer Claims Malaysia where applicable.

13. General Provisions

• Entire Agreement: These Terms & Conditions, together with any signed statement of work or proposal, constitute the full agreement between the parties and supersede all prior discussions or representations.
• Severability: If any provision of this agreement is found to be unenforceable, the remaining provisions continue in full force.
• Waiver: Failure by either party to enforce any right under this agreement does not constitute a waiver of future enforcement of that right.
• Assignment: Neither party may assign their rights or obligations under this agreement without the prior written consent of the other party.
• Notices: Formal notices under this agreement should be sent in writing to the contact details provided in Section 15.

14. Changes to Terms

Gemilang Tech may update these Terms & Conditions from time to time to reflect changes in our services, applicable law, or business practices. When material changes are made, we will update the "Last Updated" date at the top of this page.

We encourage you to review this page periodically. Continued engagement with Gemilang Tech after any changes take effect constitutes your acceptance of the updated terms.
